These terms of use ("Terms") mandate the terms on which the users ("You" or "Your" or "Yourself" or "User") access and register on the website www.flash.co, web app page https://webapp.flash.co/, the mobile application 'Flash.co' and AI-powered shopping assistant, Flash AI owned and operated by Flashmonk Private Limited ("Company"), collectively referred to as ("the Platform").

These Terms are an electronic record in terms of applicable information technology laws and regulations, including but not limited to the Information Technology Act, 2000 (India), General Data Protection Regulation (EU), California Consumer Privacy Act (US), and other applicable digital commerce laws in the jurisdictions where our services are offered, and are generated by a computer system and do not require any physical, electronic, or digital signatures.

Please read these Terms and the Privacy Policy carefully before using or registering on the Platform or accessing any material, information, etc., through the Platform. By clicking on the "Continue" button provided at the signup page, You accept these Terms, the Privacy Policy and agree to be legally bound by the same.

The Company retains an unconditional right to modify or amend these Terms and the Privacy Policy and notify You of the same. You can determine when these Terms were last modified by referring to the "Last Updated" legend above. It shall be Your responsibility to check the Terms periodically for changes. Your acceptance of the amended Terms shall signify Your consent to such changes and agreement to be legally bound by the same.

1. Services

1.1 License to the Platform

The Company provides You a limited, non-exclusive, non-transferable, royalty-free license to use the Platform for the purposes of registering on the Platform, accessing the Content (as defined below) and availing the Services through the Platform. You can register on the Platform using Your mobile number, or any other email address by other email service providers.

1.2 Flash AI Shopping Assistant

The Company provides an AI-powered shopping assistant, Flash AI, accessible through WhatsApp, the web platform at www.flash.co, and the dedicated Flash.co mobile application for iOS and Android. Flash AI processes Your text/image/link/voice-based product queries using natural language processing to deliver comprehensive research, analyzes product images You share for identification, comparison, and recommendations, and extracts product information from shared links, to provide detailed insights. The service aggregates information from blogs, video content, and reviews to conduct deep research, compares prices across multiple e-commerce platforms globally, offers personalized product suggestions and shopping advice, and assists with post-purchase support, including cancellations, returns, and warranty claims in accordance with local consumer protection laws.

By using Flash AI, You acknowledge that its responses are generated algorithmically and may contain inaccuracies, and You are responsible for verifying information before acting. These services are provided subject to the Terms of Use and Privacy Policy, and We reserve the right to modify or discontinue any feature with prior notice in accordance with applicable laws in Your jurisdiction.

1.3 Flash.Co ID Services

The Company offers You the ability to sign up on the Platform either through your registered email id or a unique email account, known as the Flash.co ID, provided by the Company. This Flash.co ID enables You to seamlessly sign up or log in to third-party e-commerce sites globally, streamlining Your shopping experience across platforms. Additionally, the platform facilitates consolidated order tracking, allowing You to monitor Your orders and delivery statuses from multiple e-commerce platforms in one place across different regions. It also provides insights into Your shopping activities and spending patterns, helping You make informed decisions while respecting local currency and tax regulations. 

The aforementioned services shall be collectively referred to as the "Services". The Company may, at its discretion, add, modify, or remove any of the Services listed above from time to time.

2. Provision of Services

You agree and acknowledge that the Company facilitates AI-powered shopping assistance and related services on the Platform. The Services availed by You through the Platform are separate from the services or products purchased from third-party service providers. You acknowledge that under no circumstances should You expect the Company to be responsible for any deficiency or failure in the services or products provided by third-party service providers, which are governed by applicable consumer protection laws in Your jurisdiction.

Flash AI provides responses generated using artificial intelligence based on the input text, images, or links shared by You. These responses are suggestions only and do not constitute verified professional advice. While we aim for accuracy, we do not guarantee the completeness or reliability of AI-generated insights, and such limitations are disclosed in accordance with applicable AI transparency regulations.

The Company does not: (i) adopt any 'unfair trade practices' either on the Platform or otherwise with respect to the Services in accordance with applicable consumer protection and competition laws; and (ii) discriminate between Users of the same class or make any arbitrary classification of the Users, in compliance with applicable anti-discrimination laws.

3. Eligibility of use

1. The use and access to the Platform is available to all persons who can be legally bound by contract and who are not disqualified or declared incompetent under applicable contract laws in their jurisdiction, including but not limited to the Indian Contract Act, 1872, common law principles, civil law systems, and other applicable legal frameworks. You hereby represent that You are legally qualified to enter a binding contract, are not a person barred from receiving Services from the Platform under applicable laws in Your jurisdiction, comply with applicable foreign exchange and tax laws in Your country of residence, and are competent to enter into a binding contract.
   
2. We maintain the right to provide Services only to those Users who are competent to enter into legally binding contracts and qualify under our internal policies determined solely by Us from time to time, in compliance with applicable laws including anti-discrimination regulations.
   
3. Age Restrictions: You must be at least 18 years of age to use the Platform. If You are under 18, You must have verifiable parental or guardian consent to use the Platform. Parents/guardians can contact support@flash.tech to manage their child's account and information.
   
4. You shall not have more than one active Account on the Platform. Additionally, You are prohibited from selling, trading, or otherwise transferring Your Account to another party or impersonating any other person for the purpose of creating an Account on the Platform.
   
   

4. User account, password and security

1. To avail the Services on the Platform, You are required to set up an account by providing information as required by the Company ("Account"). You can access the Platform by logging into Your Account with Your credentials.
   
2. You shall ensure that the Account information provided is complete, accurate, and up-to-date. If there is any change in Account information, You shall promptly update it on the Platform in accordance with applicable data accuracy requirements or you can request to make an update on your behalf by writing to us at support@flash.tech.
   
3. If You provide any information that is untrue, inaccurate, not current, or incomplete, the Company has the right to refuse or reject the provision of Services in accordance with applicable laws.
   
4. You will be responsible for maintaining the confidentiality of Account information and are fully responsible for all activities that occur under Your Account. You agree to immediately notify the Company of any unauthorized use of Your Account or any breach of security. Any unlawful use will lead to immediate termination of the account in accordance with applicable due process requirements.
   
5. Account Termination: If and when You desire to have Your name and details removed from Our records, immediately upon receiving Your written request at support@flash.tech, We shall remove and delete all such information in accordance with applicable data protection laws including GDPR's right to erasure, CCPA's right to deletion, and similar regulations. However, we may retain certain information where required under applicable laws.
   
6. Inactive Account Policy: In case of no user activity for 6 months, You will be notified via push notifications or other communication channels. 

5. Use of the platform

1. Subject to compliance with these Terms, the Company grants You a non-exclusive, limited privilege to access and use the Platform for purposes permitted by these Terms and in accordance with applicable law in Your jurisdiction.
   
2. You agree not to access the Platform by any means other than through the interface provided by the Company. You shall not use any automated systems, robots, or similar processes to access or monitor the Platform, except as permitted by applicable laws such as accessibility requirements.
   
3. AI Interaction Guidelines: When using Flash AI, provided by the Company, You agree to provide accurate and truthful information in Your queries to ensure Flash AI can deliver relevant and reliable responses for Your shopping needs. You commit to using Flash AI solely for legitimate shopping assistance purposes, such as product research, price comparisons, purchase recommendations, or post-purchase updates/support. We collect and store your personal information including address, preferences, and shopping profile details to provide personalized product recommendations and ensure a seamless shopping experience. You agree not to attempt to manipulate or exploit the AI's responses for any unauthorized, fraudulent, or harmful activities. Your interactions with Flash AI are subject to the Terms of Use and Privacy Policy, and any misuse may result in suspension or termination of Your access to the service, with appropriate notice as required by applicable laws.
   
4. Prohibited Content: When using the Platform, including Flash AI, You undertake not to host, display, upload, modify, publish, transmit, store, update, or share any information that belongs to another person without Your rightful ownership or authorization, or that is defamatory, obscene, pornographic, invasive of another's privacy, harassing, harmful to children, or infringing on intellectual property rights. You further agree not to share content that violates any applicable law (including but not limited to laws in the US, EU, UK, Canada, Australia, and other jurisdictions where our services are available), deceives others regarding the origin of messages, contains malicious code or is designed to harm computer systems, or is patently false and intended to mislead for financial gain. Any violation of these restrictions may result in immediate suspension or termination of Your access to the Platform, with appropriate notice as required by applicable laws including due process protections.
   
5. Restricted Uses: You agree not to share content that is unlawful, discriminatory, or harmful under applicable laws including hate speech regulations, anti-discrimination laws, and content moderation requirements in various jurisdictions, nor to attempt to reverse engineer or misuse the AI assistant in any way that violates these Terms of Use or applicable laws including AI regulations and intellectual property laws. You further agree not to rely solely on Flash AI's responses for critical decisions without independently verifying the information, as the AI's outputs are generated algorithmically and may contain inaccuracies. Any violation may result in suspension or termination with appropriate notice as required by applicable procedural laws.
   
6. You shall maintain necessary computer equipment, mobile devices, and internet connections required to access and use the Platform, subject to applicable accessibility requirements in Your jurisdiction.
   

6. Consent to process shared content

By using Flash AI, You explicitly consent to the processing of content You share, including product links, images, text, and reviews, for the purposes of conducting deep product research and generating recommendations, comparing prices and products across e-commerce platforms globally, and providing post-purchase support such as assistance with returns, refunds, cancellations, and warranty in accordance with applicable consumer protection laws. This consent is provided in accordance with applicable data protection laws including GDPR (EU), CCPA (California), PIPEDA (Canada), Privacy Act (Australia), LGPD (Brazil), and other applicable privacy regulations.

Additionally, You agree that Your shared content may be used to improve the Flash AI service and, with Your explicit consent, to train Our AI models to enhance their accuracy and functionality, in compliance with applicable AI governance frameworks. All data processing is conducted in accordance with the Terms of Use and Privacy Policy, and complies with applicable laws including data protection regulations worldwide. You may withdraw Your consent for non-essential data processing by contacting support@flash.tech, though this may limit access to certain Flash AI features, and such withdrawal will be processed in accordance with applicable data subject rights.

7. Third-party AI providers

Flash AI may use APIs and services from third-party AI providers such as Google Gemini, OpenAI, Anthropic, or other providers. You understand that data may be transmitted to such providers solely for processing Your requests and generating responses, in accordance with applicable data transfer regulations including EU-US Data Privacy Framework, Standard Contractual Clauses, and other approved transfer mechanisms. These providers are contractually bound to adhere to applicable data protection laws in their respective jurisdictions and internationally recognized privacy standards.

8. Intellectual property rights

The Platform and all its content, including text, graphics, user interfaces, algorithms, and computer code, are owned and controlled by the Company and are protected by copyright, patent, and trademark laws globally, including the Berne Convention, WIPO treaties, and applicable intellectual property laws in various jurisdictions. You are not permitted to duplicate, distribute, create derivative works, or commercially exploit this content without Our prior written permission, which may be requested by contacting support@flash.tech.

The trademarks, logos, and service marks displayed on the Platform are the property of the Company or third parties, and You may not use these marks without obtaining prior written consent from the respective owners, in accordance with applicable trademark laws. By sharing content with Flash AI, such as text queries, product images, or links, You grant the Company a non-exclusive, worldwide, royalty-free license to use, process, and analyze Your content for the purposes of providing services, improving Our AI models, and generating shopping insights, subject to the Terms of Use and Privacy Policy and applicable intellectual property laws.

9. Limitations of AI Output

Flash AI aggregates information from publicly available sources globally, including e-commerce platforms, blogs, and video content, to deliver product research, price comparisons, recommendations, and post-purchase support. However, we do not independently verify the accuracy, price, availability, or legality of third-party content across different jurisdictions. AI-generated recommendations are provided for informational purposes only and do not constitute professional advice under applicable professional standards and regulations, and You are encouraged to validate all information independently before making purchase decisions.

We do not guarantee the accuracy, completeness, or reliability of Flash AI's recommendations, as they are generated algorithmically and may contain inaccuracies, in accordance with applicable AI transparency and explainability requirements. You are solely responsible for verifying the information provided by Flash AI, and any use of the service is subject to the Terms of Use and Privacy Policy and applicable consumer protection laws.

10. Third-Party Services And Purchases

The Company facilitates connections to third-party e-commerce platforms and retailers globally through Flash AI, enabling You to access their services for product research, price comparisons, and purchases, but We are not responsible for the services, products, or policies of these third parties, which are governed by their own terms and conditions and applicable laws in their respective jurisdictions. Your purchases on these platforms are subject to the respective third-party terms and applicable consumer protection laws, and the Company is not a party to Your purchase transactions.

Flash AI may assist in initiating post-purchase services, such as returns, cancellations, or warranty claims, by providing guidance or interfacing with third-party platforms, but We are not responsible for the final execution of these requests, as return and warranty policies are determined solely by the respective merchant's terms and applicable consumer protection laws in the relevant jurisdiction.

11. Disclaimers Of Warranties And Liabilities

By using the Platform and Services, You expressly understand and agree that they are offered on an "as is" basis without any warranties, including implied warranties of merchantability or fitness for a particular purpose, to the maximum extent permitted by applicable laws including consumer protection laws in various jurisdictions (noting that some jurisdictions may not permit full exclusion of warranties).

The Company does not warrant that the Platform will meet Your specific requirements or that it will be uninterrupted, timely, secure, or error-free, subject to applicable consumer rights that cannot be excluded by law. The Company disclaims any liability for content-related issues arising under intellectual property rights, libel, privacy, or other laws, and will not be responsible for any loss incurred due to unauthorized use of Your account or actions by third parties, except where prohibited by applicable mandatory consumer protection laws.

Additionally, the Company is not liable for the accuracy, completeness, or reliability of AI-generated responses and recommendations provided by Flash AI, which are for informational purposes only, and You are responsible for verifying such information before acting, in accordance with applicable AI liability frameworks. The Company is not liable for any fraudulent activity, monetary loss, or other damages arising from Your reliance on such content, except as required by mandatory consumer protection laws, so user discretion is advised.

12. Indemnification And Limitation Of Liability

By using the Platform and Services, You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, or expenses arising from Your use of the Platform, violation of these Terms of Use, or infringement of any rights of others, to the extent permitted by applicable laws.

The Company shall not be liable for any special, incidental, indirect, consequential, or punitive damages arising from Your use of the Platform, to the maximum extent permitted by applicable laws (noting that some jurisdictions have mandatory liability rules that cannot be excluded). Additionally, the Company disclaims liability for any decisions You make based on AI-generated recommendations or for inaccuracies in content produced by Flash AI, as such recommendations are provided for informational purposes only and should be independently verified, except where liability cannot be excluded under applicable mandatory consumer protection laws.

13. Termination

These Terms of Use remain in effect until terminated by either You or the Company. You may terminate Your account by ceasing to use the Platform or by submitting a written request to support@flash.tech, and We will process such termination in accordance with applicable data protection laws.

The Company may suspend or terminate Your account if You violate these Terms, including through misuse of Flash AI services, submission of prohibited content, attempts to manipulate AI outputs for unlawful purposes, or violation of intellectual property rights, with appropriate notice and due process as required by applicable laws in Your jurisdiction. Upon termination, the Company may delete Your content and related materials in accordance with applicable data protection laws, though transaction details may be retained as required for legal compliance under applicable laws including tax, financial, and consumer protection regulations.

14. Data Usage & Retention

Flash AI logs user interactions in anonymized form to improve model performance, enhance user experience, prevent abuse, and ensure service reliability. Data shared via WhatsApp, Web, or Mobile is handled in accordance with our Privacy Policy and applicable global data protection laws, including GDPR (EU), CCPA (California), PIPEDA (Canada), Privacy Act (Australia), LGPD (Brazil), and other applicable privacy regulations in the jurisdictions where our services are offered.

15. Governing Law And Jurisdiction

For Users in India: These Terms shall be governed by and construed in accordance with the laws of India without reference to conflict of laws principles. Disputes arising in relation hereto shall be subject to the exclusive jurisdiction of courts at Bangalore, Karnataka, India.

For Users in the European Union: These Terms shall be governed by the laws of the Republic of Ireland, and disputes shall be subject to the jurisdiction of Irish courts, without prejudice to mandatory consumer protection laws in Your country of residence.

For Users in the United States: These Terms shall be governed by the laws of Delaware, USA, and disputes shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by applicable state laws.

For Users in the United Kingdom: These Terms shall be governed by English law, and disputes shall be subject to the jurisdiction of English courts.

For Users in Canada: These Terms shall be governed by the laws of Ontario, Canada, and disputes shall be subject to the jurisdiction of Ontario courts.

Alternative Dispute Resolution: Before initiating formal legal proceedings, parties agree to attempt resolution through mediation in accordance with applicable alternative dispute resolution frameworks.

16. Communications

You expressly agree to receive communications by way of emails from the Company and authorized third parties, subject to applicable telecommunications and marketing laws including CAN-SPAM Act (US), GDPR marketing provisions (EU), CASL (Canada), and other applicable regulations. You can unsubscribe from marketing communications by writing to support@flash.tech or using provided unsubscribe mechanisms, and We will process such requests in accordance with applicable laws.

18. General Provisions

1. Assignment: You cannot assign these Terms to any third party. The Company's rights are freely transferable without Your consent, subject to applicable data protection notification requirements.
   
2. Severability: If any provision is found unenforceable under applicable law, the remainder of the Terms shall continue in full force and effect.
   
3. Waiver: Any failure by the Company to enforce any provision does not constitute a waiver of that provision.
   
4. Language: These Terms are provided in English. In case of translations, the English version shall prevail except where local law requires otherwise.
   
5. Notices: All notices will be served by email to Your registered email address or by general notification on the Platform, in accordance with applicable notice requirements.
   
   

19. Rewards Program and Flash Points Policy

You may have the opportunity to earn in-app rewards or points (collectively, “Flash Points”) in connection with your use of the Service. By accessing the Service, or taking any other action for which you are eligible to earn Flash Points, you agree to be bound by our Flash Points Terms and Conditions, located at https://home.flash.co/india-rewards-terms-and-conditions
